These Terms of Service govern your use of the booking platform operated by OptitechAutomation — a UK sole trader, the personal business of Cristian Moise-Putanu, with its principal place of business in Torquay, Devon, United Kingdom ("OptitechAutomation", "we", "us", "our"). OptitechAutomation is a business name, not a registered company; there is no Companies House number or registered office.

By using our platform to browse, request, or confirm a booking, you agree to these terms. If you do not agree, please do not use our services.


1. About This Agreement

OptitechAutomation operates the platform as a UK sole trader (the personal business of Cristian Moise-Putanu). These terms form a legally binding agreement between you and OptitechAutomation when you access or use any part of the platform.


2. Service Description

OptitechAutomation provides a technology platform that enables trade businesses ("Businesses") to offer and manage bookings with their customers ("Customers"). We facilitate the booking process; the underlying trade service is provided by the Business, not by OptitechAutomation. We are not a party to the service agreement between the Business and the Customer.

4. Booking and Cancellation Policy

When you confirm a booking, you enter into a direct contract with the Business for the provision of trade services. Cancellation terms are set by the Business; however, the following defaults apply unless the Business has communicated different terms:

A deposit may be required at the time of booking. The deposit amount is displayed clearly before you confirm. The deposit is held to confirm your intent and compensate the Business for time reserved on your behalf.

6. Right to Cancel (Consumer Contracts Regulations 2013)

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel a booking within 14 days of confirming it, without giving any reason, unless the service has already commenced with your agreement before the 14-day period expires.

To exercise your right to cancel, you must inform the Business clearly of your decision to cancel. If the service has not yet commenced, you will receive a full refund within 14 days of the Business receiving your cancellation notice.


7. Intellectual Property

7.1 Platform Rights

All intellectual property rights in the platform — including its software, source code, design, structure, user interface, trade marks, documentation, and content — are and remain owned by OptitechAutomation or its licensors. This includes, without limitation, the platform's underlying systems and confidential methods: the website-generation system and the prompts, instructions, templates, and configuration that drive it; the matchmaking, pooling, and booking-allocation logic; and the databases and data compilations the platform produces. These are protected by copyright, database rights, trade-mark rights, and the law of confidence and trade secrets. You receive a limited, non-exclusive, non-transferable, revocable licence to use the platform for its intended purpose only. Nothing in these terms transfers ownership of any of OptitechAutomation's intellectual property to you, and all rights not expressly granted are reserved.

7.1a Anti-Copy and Prohibited Use

To protect the platform and the rights described in Section 7.1, you must not, and must not permit or enable any other person to:

These restrictions are in addition to, and do not limit, the rules in our Acceptable Use Policy. Breach of this Section is a material breach of these terms and may result in immediate suspension or termination of your access, without prejudice to our other remedies (including injunctive relief and damages).

7.1b Confidentiality and Trade Secrets

Certain elements of the platform are confidential information and trade secrets of OptitechAutomation within the meaning of the Trade Secrets (Enforcement, etc.) Regulations 2018 — in particular the website-generation system and its prompts, the matchmaking and allocation logic, and our non-public technical and commercial methods. Where you are given access to or become aware of any such confidential information, you must keep it confidential, must not disclose it to any third party, and must not use it except as strictly necessary for your permitted use of the platform. This obligation survives termination of your access.

7.1c Ownership of Generated Site Content

Where you use the platform to create a website, content that you supply or that is generated for your business at your direction — such as your business name, descriptions, service listings, images you upload, and the specific published text of your own pages ("Your Site Content") — belongs to you, and you may continue to use it after you stop using the platform. We claim no ownership of Your Site Content. However, the system that produces it — the website-generation engine, its prompts and instructions, the templates, themes, layouts, components, and the platform software that renders and hosts your site — remains the exclusive property of OptitechAutomation and is licensed to you only for use within the platform. You may take Your Site Content with you; you may not take, copy, or reuse the engine, templates, or underlying system. You grant us the non-exclusive licence over Your Site Content set out in Section 7.3 solely so that we can host, display, and operate your site.

7.2 Feedback Assignment

If you provide feedback, suggestions, or ideas about the platform ("Feedback"), you irrevocably assign to OptitechAutomation all intellectual property rights in that Feedback and waive any moral rights to the extent permitted by law. We may use Feedback without restriction, compensation, or attribution.

7.3 Service-Operation Data Licence

By using the platform you grant OptitechAutomation a non-exclusive, royalty-free licence — limited to what is necessary to provide, operate, secure, support and bill the platform — to process data derived from your use of the platform, and to use anonymised and de-identified, aggregated statistics for those operational purposes and to maintain and improve the platform's reliability and security. This licence is not perpetual or irrevocable: it lasts only for the term of your use of the platform plus any period required by law (for example tax-record retention), and you may end it by ceasing to use the platform, subject to our lawful retention obligations. No personally identifiable information is included in aggregated outputs. Any use of your data to train or improve AI/machine-learning models is governed separately by Section 8 and requires your opt-in.

7.4 Customer Indemnity (IP)

You represent and warrant that any content, materials, or information you submit to the platform ("Your Content") does not infringe the intellectual property rights of any third party. You indemnify OptitechAutomation against any claims, losses, or expenses arising from a breach of this warranty.

7.5 Open Source Warranty

You warrant that any open-source software components you introduce to us (for example, through integrations or scripts) comply with their respective licences and do not impose obligations inconsistent with our ownership of the platform.

7.6 Database Rights and Trade Secrets

OptitechAutomation claims all database rights (under the Copyright and Rights in Databases Regulations 1997) in data compilations produced by the platform. You must not extract, re-use, or systematically copy substantial parts of any database without our express written consent.


8. AI-Assisted Features

8.1 Providing the feature

AI-assisted features of the platform include the website generator and algorithmic job-routing and matchmaking systems. Where you use these features, you grant OptitechAutomation a non-exclusive, royalty-free licence limited to providing that feature to you — namely, to process the inputs you submit and the outputs generated, and (where applicable) to transmit your inputs to our AI sub-processor (currently Anthropic, see our Sub-Processors List) solely to generate your requested output and to operate, secure and support the feature. This licence is not perpetual or irrevocable and does not, by itself, permit any use of your inputs or outputs to train or improve AI models. Automated routing and matchmaking suggestions are recommendations only — final booking and assignment decisions are made by the relevant Business.

8.2 Model improvement is opt-in only

We will not use your inputs or outputs to train, fine-tune or otherwise improve AI/machine-learning models unless you have given a separate, specific opt-in consent for that purpose. Any such consent is voluntary, is not a condition of using the platform, and you may withdraw it at any time with effect for the future. We will never use personally identifiable information for model improvement without your separate consent. Our current AI sub-processor's commercial API terms state that data submitted via the API is not used to train its models.


9. Limitation of Liability

OptitechAutomation acts as a technology intermediary and is not responsible for the quality, safety, or legality of the trade services provided by Businesses. Our liability to you in connection with the platform is limited to the greater of:

Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded under English law.


10. Dispute Resolution

We encourage you to contact us first at hello@optitechautomation.co.uk if you have a dispute. We aim to resolve all complaints within 5 working days.

These terms are governed by the laws of England and Wales. Any dispute that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of England and Wales.


11. Assignment

We may assign, transfer, or otherwise deal with all or part of our rights and obligations under this Agreement to any successor entity without your consent, on 30 days' prior written notice. You may not assign your rights or obligations under these terms without our prior written consent.


12. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via the platform at least 14 days before they take effect. Continued use of the platform after that date constitutes acceptance of the updated terms.
